These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Propfax LLC (“Propfax,” “we,” “us,” or “our”), a limited liability company organized in the State of Florida, located at 999 SW 1st Ave, Miami, FL 33130.
By creating an account, accessing, or using the Propfax platform (including our web application, mobile application, APIs, and related services), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity. If you do not agree to these Terms, you may not use Propfax.

We reserve the right to modify, suspend, or discontinue any feature of the service at any time, with reasonable notice when practicable.
To use Propfax, you must create an account by providing accurate and complete information, including your name, email address, and a secure password. You agree to keep this information current.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at info@propfaxai.com if you suspect unauthorized access to your account.
If you invite team members to your organization, you are responsible for their use of the platform under your account. Team member access is governed by the role-based permissions you assign (Owner, Admin, Project Manager, Field Worker, or Viewer).

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice, depending on the severity of the violation.
You retain ownership of all content you upload, create, or store on Propfax, including projects, reports, photos, videos, documents, expenses, and any other data (“Customer Data”).
By using Propfax, you grant Propfax LLC a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to use, process, store, analyze, modify, and create derivative works from Customer Data for the following purposes:
We may create aggregated, anonymized, or de-identified datasets derived from Customer Data. Such datasets may be used by Propfax for any lawful business purpose. For full details on how we use your data, see our Privacy Policy.
When you use AI-powered features (document extraction, receipt scanning, report generation), Customer Data is sent to our AI service provider (Anthropic) for processing. Additionally, Customer Data may be used internally to develop, train, and improve Propfax’s own AI models and automated systems. Where practicable, data used for AI improvement is aggregated or de-identified. We do not provide your identifiable Customer Data to third-party AI providers for their own model training. You review and approve all AI-generated output before it is saved.
Propfax LLC does not sell Customer Data in personally identifiable form. Your content is never shared with third parties for advertising or provided to data brokers.
You may request an export of your Customer Data at any time by contacting info@propfaxai.com. Following account termination, Propfax may continue to retain and use Customer Data in accordance with the license granted in Section 5.2 and the retention practices described in our Privacy Policy. Where required by applicable law, we will honor verified deletion requests for personally identifiable information.
The Propfax platform, including its software, design, branding, logos, documentation, and all related intellectual property, is owned by Propfax LLC and protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Propfax for your internal business purposes in accordance with these Terms. This license does not include the right to modify, distribute, or create derivative works based on our platform.
Propfax may offer free and paid subscription plans. Features, usage limits, and pricing are described on our website and within the application. We reserve the right to change pricing with 30 days’ written notice.
If you subscribe to a paid plan, you agree to provide accurate billing information and authorize us to charge your selected payment method on a recurring basis. All fees are non-refundable except as required by law or as explicitly stated in a specific plan.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period you have already paid for.

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
We strive to maintain high availability of the Propfax platform but do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Propfax is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the service will be uninterrupted, error-free, secure, or that defects will be corrected. We do not warrant the accuracy or reliability of AI-generated content. All AI-generated reports, extractions, and analyses are provided for your review and should be verified before being relied upon or shared with third parties.
To the maximum extent permitted by applicable law, Propfax LLC, its members, managers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the service, regardless of the theory of liability.
Our total aggregate liability for all claims arising out of or related to these Terms or the service shall not exceed the greater of (a) the amount you paid to Propfax in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless Propfax LLC and its members, managers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
You may terminate your account at any time by contacting us at info@propfaxai.com or through the account settings. Termination does not entitle you to a refund of any prepaid fees.
We may suspend or terminate your access to Propfax at any time if you violate these Terms, engage in fraudulent or illegal activity, or if we are required to do so by law. We will provide notice when practicable.
Upon termination, your right to use Propfax ceases immediately. Following termination, Propfax may continue to retain and use Customer Data in accordance with the license granted in Section 5.2 and the data retention practices described in our Privacy Policy. You may request an export of your Customer Data within 30 days of termination. Sections 5, 6, 10, 11, 12, 14, and 15 survive termination.
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association in Miami-Dade County, Florida, under its Commercial Arbitration Rules.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.
We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice within the application at least 30 days before the changes take effect. The “Last Updated” date at the top of this page reflects the most recent revision.
Continued use of Propfax after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using Propfax and close your account.
